TERMS AND CONDITIONS

These Terms and Conditions (“Terms”) govern your access to and use of KitchenLoopAI™, including our websites, mobile applications, software, artificial-intelligence features, SmartRestock™, and related services (collectively, the “Services”).

The Services are provided by AiKitchenUSA LLC (“AiKitchenUSA,” “KitchenLoopAI,” “we,” “us,” or “our”).

By accessing or using the Services, you agree to these Terms.

If you do not agree, do not use the Services.

1. ELIGIBILITY

You must be legally capable of entering into a binding agreement to use the Services.

The Services are not intended for children under 13.

If you use the Services on behalf of an organization, you represent that you have authority to bind that organization to these Terms.

2. KITCHENLOOPAI SERVICES

KitchenLoopAI provides technology designed to assist users with household food management, including features that may:

• Recognize food or products from photographs
• Maintain estimated household inventory or Kitchen State
• Generate meal or recipe recommendations
• Estimate ingredient availability
• Identify missing, low, insufficient, or expiring items
• Generate SmartRestock recommendations
• Estimate replenishment needs
• Personalize recommendations
• Connect users with third-party grocery or commerce providers

Features may change, be added, removed, limited, or discontinued.

3. ARTIFICIAL INTELLIGENCE

KitchenLoopAI uses artificial intelligence, machine learning, computer vision, algorithms, automated processing, and generated content.

AI output can be incomplete, inaccurate, inappropriate, or incorrect.

KitchenLoopAI does not guarantee:

• Product recognition accuracy
• Inventory accuracy
• Quantity accuracy
• Expiration or freshness estimates
• Recipe accuracy
• Nutrition information
• Allergen identification
• Ingredient completeness
• Availability or pricing
• Restocking recommendations
• Purchase recommendations

You are responsible for reviewing and verifying information before relying on it.

4. FOOD SAFETY, ALLERGIES, AND HEALTH

KitchenLoopAI is not a medical, nutritional, dietary, food-safety, or healthcare provider.

Nothing in the Services constitutes medical advice, diagnosis, treatment, nutritional counseling, or professional food-safety advice.

Never rely solely on KitchenLoopAI to determine whether food is safe to consume.

Users are responsible for checking:

• Expiration and use-by dates
• Food appearance, smell, and condition
• Proper storage
• Cooking temperatures
• Product packaging
• Ingredient labels
• Allergy warnings
• Cross-contamination risks
• Dietary suitability

If you have a food allergy, medical condition, dietary restriction, or other health concern, independently verify ingredients and consult an appropriate professional when necessary.

5. ACCOUNTS

Certain features require an account.

You agree to provide accurate information and maintain the security of your account.

You are responsible for activity conducted through your account unless prohibited by law.

Notify us if you believe your account has been compromised.

6. GUEST AND FREE ACCESS

KitchenLoopAI may provide guest, free, Basic, trial, promotional, or other limited-access tiers.

Usage limits, available features, scan allowances, and eligibility may change.

We may impose reasonable limits on free or guest usage.

7. PREMIUM SUBSCRIPTIONS

KitchenLoopAI may offer paid Premium subscriptions.

Pricing, billing frequency, features, and applicable trial or promotional terms will be disclosed before purchase.

Subscriptions may be offered monthly, annually, or on another disclosed billing schedule.

Unless otherwise stated at purchase, subscriptions automatically renew until canceled.

8. APPLE APP STORE AND GOOGLE PLAY SUBSCRIPTIONS

If you purchase through Apple's App Store or Google Play, the applicable platform processes the transaction and its payment and subscription terms also apply.

Cancellation generally must be completed through the platform through which the subscription was purchased.

Deleting KitchenLoopAI does not automatically cancel a subscription.

Deleting a KitchenLoopAI account also may not automatically cancel a subscription administered by Apple, Google, or another third party.

9. TRIALS AND PROMOTIONS

KitchenLoopAI may offer trials, promotional codes, discounts, or promotional access.

Eligibility and duration may vary.

Unless otherwise disclosed, a trial associated with a paid subscription may convert to a paid subscription when the trial ends unless canceled before renewal.

Promotions may be limited to eligible users and may not be combined.

We may prevent misuse of promotional offers.

10. CANCELLATION

You may cancel a subscription through the payment provider through which it was purchased.

Unless required otherwise by law, cancellation generally takes effect at the end of the current paid billing period.

Access to Premium features may continue until that period ends.

11. REFUNDS

Purchases made through Apple or Google are subject to the applicable platform's refund policies and processes.

For purchases processed directly by AiKitchenUSA or another payment provider, refunds are provided where required by law or according to the terms disclosed at purchase.

12. SMARTRESTOCK™

SmartRestock is designed to identify and prioritize potential grocery or household restocking needs based on available Kitchen State, inventory, recipes, product observations, usage information, preferences, and other signals.

SmartRestock recommendations are estimates.

You are responsible for confirming the items, quantities, brands, substitutions, pricing, availability, and other details before purchasing.

13. THIRD-PARTY GROCERY AND COMMERCE PROVIDERS

KitchenLoopAI may provide links, handoffs, referrals, or integrations with independent grocery, retailer, delivery, and commerce providers, including Instacart and potentially other providers.

These providers are independent third parties.

AiKitchenUSA does not control and is not responsible for a third party's:

• Inventory
• Pricing
• Fees
• Product availability
• Substitutions
• Delivery
• Fulfillment
• Refunds
• Customer service
• Terms
• Privacy practices

Any transaction completed with a third-party provider is between you and that provider, subject to that provider's terms.

KitchenLoopAI may receive referral fees, commissions, attribution credit, or other compensation from commerce partners where applicable.

14. SPONSORED AND COMMERCIAL CONTENT

KitchenLoopAI may display sponsored, promoted, or commercially supported products, brands, recipes, or recommendations.

Where required, sponsored content will be identified appropriately.

Compensation may influence the presence or placement of sponsored content.

We do not guarantee that sponsored products are suitable for you.

15. USER CONTENT

You may submit photos, inventory information, corrections, preferences, feedback, or other content to the Services (“User Content”).

As between you and AiKitchenUSA, you retain any ownership rights you have in your User Content.

You grant AiKitchenUSA a worldwide, non-exclusive, royalty-free license to host, store, reproduce, process, modify, transmit, and use User Content as reasonably necessary to provide, secure, maintain, personalize, and improve the Services and as otherwise described in our Privacy Policy.

You represent that you have the necessary rights to submit User Content.

16. FEEDBACK

If you voluntarily provide suggestions, ideas, recommendations, or feedback about KitchenLoopAI, you grant AiKitchenUSA the right to use that feedback without restriction or compensation to you, to the extent permitted by law.

17. ACCEPTABLE USE

You may not:

• Use the Services unlawfully
• Attempt unauthorized access
• Interfere with the Services
• Introduce malicious software
• Circumvent usage limits or security controls
• Scrape or systematically extract protected content except where legally permitted
• Reverse engineer the Services except to the extent such restriction is prohibited by law
• Use the Services to infringe intellectual-property or privacy rights
• Fraudulently manipulate subscriptions, referrals, promotions, or commerce attribution
• Use automated systems to abuse the Services

18. INTELLECTUAL PROPERTY

The Services, including KitchenLoopAI branding, SmartRestock branding, interfaces, designs, documentation, databases, workflows, proprietary systems, and other materials, are owned by or licensed to AiKitchenUSA, subject to applicable law and third-party rights.

KitchenLoopAI™ and SmartRestock™ are trademarks or claimed trademarks of AiKitchenUSA LLC.

Nothing in these Terms transfers ownership of AiKitchenUSA intellectual property to you.

19. PRIVACY

Our Privacy Policy explains our data practices and is incorporated into these Terms by reference.

20. SERVICE AVAILABILITY

We do not guarantee that the Services will always be available, uninterrupted, secure, or error-free.

We may modify, suspend, restrict, or discontinue any portion of the Services.

21. BETA AND EXPERIMENTAL FEATURES

Certain features may be designated beta, experimental, preview, or early access.

Such features may contain errors or change substantially and may be discontinued.

22. DISCLAIMERS

TO THE MAXIMUM EXTENT PERMITTED BY LAW, THE SERVICES ARE PROVIDED “AS IS” AND “AS AVAILABLE.”

AIKITCHENUSA DISCLAIMS WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, NON-INFRINGEMENT, AND OTHER WARRANTIES TO THE EXTENT PERMITTED BY LAW.

WE DO NOT WARRANT THAT RECOMMENDATIONS, INVENTORY INFORMATION, RECIPES, FOOD-SAFETY INFORMATION, PRODUCT INFORMATION, PRICING, AVAILABILITY, OR THIRD-PARTY INFORMATION WILL BE ACCURATE OR COMPLETE.

Some jurisdictions do not allow certain warranty exclusions, so portions of this section may not apply to you.

23. LIMITATION OF LIABILITY

TO THE MAXIMUM EXTENT PERMITTED BY LAW, AIKITCHENUSA AND ITS MEMBERS, OFFICERS, EMPLOYEES, CONTRACTORS, AFFILIATES, AND SERVICE PROVIDERS WILL NOT BE LIABLE FOR INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES, OR FOR LOSS OF PROFITS, REVENUE, DATA, GOODWILL, OR BUSINESS OPPORTUNITY ARISING FROM OR RELATING TO THE SERVICES.

TO THE MAXIMUM EXTENT PERMITTED BY LAW, AIKITCHENUSA'S AGGREGATE LIABILITY ARISING FROM OR RELATING TO THE SERVICES WILL NOT EXCEED THE GREATER OF:

(A) THE AMOUNT YOU PAID TO AIKITCHENUSA FOR THE SERVICES DURING THE 12 MONTHS BEFORE THE EVENT GIVING RISE TO THE CLAIM; OR

(B) $100.

These limitations do not apply where prohibited by law.

24. INDEMNIFICATION

To the extent permitted by law, you agree to indemnify and hold harmless AiKitchenUSA and its affiliates, members, officers, employees, and agents from third-party claims, damages, liabilities, and reasonable expenses arising from your unlawful use of the Services, your violation of these Terms, or your infringement of another person's rights.

25. TERMINATION

You may stop using the Services at any time.

We may suspend or terminate access if you materially violate these Terms, create security or legal risk, engage in fraud or abuse, or where suspension or termination is otherwise reasonably necessary to protect the Services or users.

Provisions that by their nature should survive termination will survive.

26. CHANGES TO THESE TERMS

We may update these Terms.

If changes are material, we will provide notice where required by law.

Continued use after an updated version becomes effective constitutes acceptance where permitted by law.

27. GOVERNING LAW

These Terms are governed by the laws of the State of Florida, without regard to conflict-of-law principles, except where applicable consumer law requires otherwise.

28. DISPUTE RESOLUTION

Before filing a legal action, you and AiKitchenUSA agree to attempt in good faith to resolve the dispute informally by providing written notice describing the dispute and requested resolution.

Nothing in this section prevents either party from seeking relief in small claims court where eligible or seeking emergency injunctive relief where appropriate.

Unless AiKitchenUSA later implements a separately disclosed and legally enforceable arbitration agreement accepted by the user, these Terms do not require mandatory arbitration.

29. SEVERABILITY

If any provision of these Terms is found unenforceable, the remaining provisions remain in effect to the fullest extent permitted by law.

30. ENTIRE AGREEMENT

These Terms, together with the Privacy Policy and any additional terms presented for specific features or purchases, constitute the agreement between you and AiKitchenUSA regarding the Services.
